ENIGMA Terms of Use
Effective Date: 12 May 2025
These Terms and Conditions (“Terms”) govern your use of the platform and services provided by Enigma Health Pte Ltd, a company incorporated in Singapore with its principal office in Singapore (“Enigma Health”, “we”, “our”, or “us”).
By accessing or using the Enigma Health platform, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the platform.
1. Description of Service
1.1 Enigma Health provides a software platform ("Platform") that enables users to access and utilize generative artificial intelligence (AI) capabilities for a variety of purposes, including but not limited to data analysis, content generation, and productivity enhancement.
1.2 By continuing, you acknowledge that you have read and understood these Terms and agree to be bound by them.
1.3 We may from time to time update these Terms. Any updates will be communicated through a notification on Enigma Health for an appropriate duration following the change. Each time you use Enigma Health, you acknowledge and agree that the latest version of these Terms shall apply.[IT1]
2. Account Registration
2.1 To access the Platform, users may be required to register for an account.
2.2 Only general account information such as username, company affiliation, and usage preferences are stored. Enigma Health does not collect or store any personally identifiable information (PII) such as names, personal contact details, credit card numbers, or government-issued IDs.
2.3 You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
3. User Data and Privacy
3.1 All data that you input into the Enigma Health Platform, as well as any outputs generated by the AI models, remain solely your property. Enigma Health does not claim ownership, access, or usage rights over such data or outputs.
3.2 Enigma Health does not store, use, share, or process your data for any purpose beyond temporarily enabling Platform functionality.
3.3 No data, content, or insights are retained or used for model training, analytics, or performance tracking by Enigma Health[IT2].
4. Use with Third-Party Cloud Providers
4.1 The Enigma Health Platform may offer users the ability to integrate or operate with third-party cloud computing and storage services, including but not limited to Amazon Web Services (AWS), Microsoft Azure, and Google Cloud Platform (GCP) (collectively, "Cloud Providers"). These integrations are provided at the user's discretion and convenience to enable enhanced compute capacity, data storage, and deployment flexibility.
4.2 While Enigma Health may facilitate such integrations to optimize user experience, Enigma Health does not manage, control, or operate any aspect of these Cloud Providers. As such, you acknowledge and agree that your use of any cloud infrastructure is subject to the separate terms and conditions, privacy policies, service-level agreements, and data protection standards set forth by the respective Cloud Provider.
4.3 Enigma Health shall not be held liable for any issues arising from the use of or reliance upon such Cloud Providers. This includes, but is not limited to:
a) Data loss, deletion, or corruption resulting from errors, outages, or misconfigurations within the cloud environment;
b) Security breaches, unauthorized access, or data exposure resulting from vulnerabilities or mismanagement in the Cloud Provider's infrastructure;
c) Downtime or service interruptions attributable to failures or maintenance on the Cloud Provider's systems;
d) Any delays or latency that may affect the performance or availability of the Enigma Health Platform when operated through cloud-hosted environments.
4.4 Users are solely responsible for configuring and managing their cloud environments, including establishing proper security controls, backup systems, access permissions, and data governance practices. Enigma Health does not assume any responsibility for the safeguarding, storage, recovery, or retrieval of data hosted on or transmitted through these third-party platforms.
4.5 Enigma Health makes no warranties, guarantees, or assurances regarding the availability, reliability, or security of any Cloud Provider's services, and any integration is provided "as-is" with no express or implied warranty from Enigma Health.
5. Acceptable Use
5.1 Compliance with Applicable Laws and Regulations
You agree to use the Platform only in a manner that:
a) Complies with all applicable local, national, and international laws and regulations, including but not limited to data protection, intellectual property, consumer protection, export control, and cybersecurity laws;
b) Does not infringe upon or violate any third-party rights, including copyrights, trademarks, trade secrets, privacy rights, and contractual obligations;
c) Does not violate any industry-specific regulations or compliance requirements, such as those related to healthcare (e.g., HIPAA), finance (e.g., MAS regulations), or sensitive data handling.
5.2 Prohibited Technical Activities
You agree not to engage in any activities intended to compromise, interfere with, or otherwise misuse the Platform's technical integrity. This includes but is not limited to:
a) Attempting to reverse-engineer, decompile, disassemble, or otherwise access or extract the source code, algorithms, or architecture of the Platform or its AI systems;
b) Circumventing, disabling, or interfering with any security features, access controls, usage monitoring, or authentication mechanisms;
c) Launching or facilitating any automated queries, data scraping, crawling, or spamming activities that affect the performance or availability of the Platform;
d) Using the Platform to conduct penetration testing, load testing, or vulnerability scanning without prior written consent from Enigma Health;
e) Interfering with or disrupting the Platform, its underlying infrastructure, or any connected systems, networks, or services.
5.3 Content Standards and Prohibited Use
You agree not to use the Platform to submit, process, generate, or disseminate any content that is inappropriate, unethical, or illegal. Prohibited content includes, but is not limited to:
a) Harmful or offensive material, including hate speech, harassment, threats, incitement to violence, or content that promotes discrimination or abuse based on race, gender, religion, nationality, disability, sexual orientation, or age;
b) Unlawful material, including content that promotes or facilitates fraud, money laundering, terrorism, or the sale of illegal goods or services;
c) Misleading or deceptive content, such as fake news, deepfakes, impersonation, defamation, or unauthorized use of a third party's identity, likeness, or intellectual property;
d) Content that infringes any patents, copyrights, trademarks, or other proprietary rights;
e) Malicious content, including malware, spyware, ransomware, or any material designed to damage or disrupt systems or obtain unauthorized access to information.
5.4 Use in Sensitive or High-Risk Contexts
The Platform is not designed or intended for use in high-risk environments where failure or inaccuracy could lead to death, personal injury, or severe physical or environmental damage. Accordingly, you agree not to use the Platform:
a) For medical diagnosis, treatment, or patient-facing healthcare decision-making without proper human oversight;
b) As part of safety-critical systems in aviation, automotive, nuclear, or life support operations;
c) In any context where regulatory or professional standards prohibit the use of generative AI without formal review, validation, or approval.
5.5 Enforcement and Termination
Enigma Health reserves the right to investigate violations of these acceptable use terms and may take appropriate action, including:
a) Suspending or terminating user accounts without notice;
b) Restricting access to the Platform or its features;
c) Reporting unlawful activity to the relevant authorities or regulators;
d) Pursuing legal remedies for any harm caused to Enigma Health or its users.
6. Limitation of Liability
6.1 Platform Provided "As Is"
The Enigma Health Platform and all associated tools, functionalities, and outputs are provided "as is" and "as available", without warranties of any kind. Enigma Health makes no representations, warranties, or guarantees—express, implied, or statutory—regarding the:
a) Accuracy, reliability, timeliness, or completeness of any output;
b) Performance, uninterrupted availability, or security of the Platform;
c) Fitness of the Platform for any particular purpose, including use in regulated or mission-critical environments.
6.2 No Liability for Loss or Damages
Enigma Health Pte Ltd shall not be liable to you or any third party for any kind of loss or damage arising from or related to your access to, use of, or inability to use the Platform, including but not limited to:
a) Loss of profits, revenue, data, business, opportunity, or goodwill;
b) Business interruption or reputational harm;
c) System failure, corruption, or data leakage;
d) Incorrect, inappropriate, or unintended AI-generated outputs;
e) Decisions made based on Platform usage, including automated recommendations or insights;
f) Any damages, whether direct, indirect, incidental, special, consequential, or exemplary, regardless of the cause or theory of liability, and even if Enigma Health has been advised of the possibility of such damages.
6.3 No Liability for Third-Party Infrastructure[IT3] [IT4]
You understand and agree that if the Enigma Health Platform is used in conjunction with, integrated into, or deployed alongside third-party cloud providers such as Amazon Web Services (AWS), Google Cloud Platform (GCP), or Microsoft Azure, Enigma Health shall not be liable for:
a) Any loss, deletion, corruption, or unavailability of data stored or processed via those cloud services;
b) Any downtime, service limitations, or performance issues caused by such providers;
c) Any unauthorized access, breach, or disclosure attributable to the cloud provider's infrastructure or configuration.
You agree that you are solely responsible for your use of these third-party services and for maintaining appropriate backup, redundancy, and security measures.
6.4 Assumption of Risk
You expressly agree that you use the Platform entirely at your own risk. You are responsible for:
a) Validating any AI-generated results before relying on them;
b) Ensuring legal and regulatory compliance when using the Platform;
c) Maintaining your own data protections, backups, and system security.
6.5 Indemnity
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Enigma Health Pte Ltd, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, or expenses arising out of or in any way connected with:
a) Your access to or use of the Platform;
b) Your violation of these Terms;
c) Your use of third-party services in connection with Enigma Health[IT5].
7. Intellectual Property
7.1 Ownership of the Platform
All intellectual property rights in and to the Enigma Health Platform, including but not limited to its underlying software, source code, architecture, algorithms, interfaces, branding, documentation, designs, databases, and all enhancements or derivative works thereof, are and shall remain the exclusive property of Enigma Health Pte Ltd or its licensors.
Nothing in these Terms shall be construed as transferring or granting you any ownership rights in the Platform. All rights not expressly granted to you herein are reserved by Enigma Health.
7.2 Limited License to Users
Subject to your compliance with these Terms, Enigma Health grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your internal business or personal use.
You may not:
a) Copy, reproduce, modify, distribute, display, or create derivative works based on any part of the Platform;
b) Use the Platform for the purpose of developing or training competing AI models or services;
c) Use any branding, trademarks, or proprietary elements of Enigma Health without prior written consent.
7.3 User Content and Ownership of Outputs
Enigma Health does not claim ownership of any data, prompts, inputs, or content you upload to the Platform ("User Content"), nor does it claim ownership over any AI-generated outputs ("Outputs") produced in response to your use of the Platform.
a) You retain full ownership and responsibility for both the User Content and Outputs generated via your use of the Platform.
b) Enigma Health does not store, reuse, or repurpose any User Content or Outputs for training, analytics, or other commercial purposes.
You are solely responsible for ensuring that your use of the Platform and any Outputs complies with applicable intellectual property laws, confidentiality obligations, and third-party rights.
7.4 Feedback
If you submit any feedback, suggestions, comments, or improvements regarding the Platform ("Feedback"), you grant Enigma Health a non-exclusive, perpetual, irrevocable, royalty-free, and worldwide license to use such Feedback for any purpose, including to improve or enhance the Platform or develop new products or services, without any obligation to compensate you.
7.5 Third-Party Content and Open Source
The Platform may incorporate or link to third-party libraries, open-source components, or content governed by separate intellectual property terms. Your use of such components is subject to their respective licenses and does not form part of these Terms. Enigma Health disclaims any liability arising from third-party intellectual property usage or restrictions.
8. Governing Law and Jurisdiction
8.1 The use of Enigma Health, and the Terms, shall be governed by and interpreted in accordance with the laws of Singapore. Any dispute arising out of or in connection with the Terms including any question regarding its existence, validity or termination, shall be referred to and finally resolved by the courts of Singapore.
9. Modification of Terms
9.1 We reserve the right to modify these Terms at any time. Notifications of material changes will be posted on the Platform.
9.2 Continued use of the Platform after changes are posted constitutes your acceptance of the new Terms.
